Bgenz.com family welcomes you to our Multi Agency biotechnology and life sciences E-commerce platform, which facilitates the selling process of your (life sciences &biotechnology) services and products.

 

BGENZ life sciences will state hereunder the terms and conditions of using www.Bgenz.com the “Website” by “Agency”. The “Agency” who wants to register on www.Bgenz.com, and to use our services to sell products must accept those Agency’ Terms and Conditions “Terms”. By creating a “Agency” account with us, you agree to be committed to these “Terms”, and all policies, guidelines, and other terms incorporated on the website.

 

In Addition, Bgenz.com reserves the right to change the “Terms” at any time. Any changes will be effective upon posting of the revisions on the “Website” without any further notice to you. You are responsible for reviewing any applicable changes. ​​1.  Bgenz.com offers the Website for Agency in order to facilitate selling process to the end users.

  1.  Bgenz.com provides the Agency with technology and services such as order management, delivery and handling, cash collection and processing of payment, and technical support.
  2. Bgenz.com has no legal responsibilities toward any relation, deals, or agreements between the Agency and the Buyer that haven’t been processed through the Website.

 

  1.  Agency acknowledges that Bgenz.com may, from time to time, upgrade features of the Website and or certain aspects of the services that it provides to its customers generally. For Agency to benefit from any such upgrade, Bgenz.com may make changes to the Services and the procedures by which Agency receives the Services.

 

  1.  Agency registration process on the Website denote that the Agency delegates Bgenz.com to complete selling process of Agency’s products. Bgenz.com is authorized by the Agency to manage, deliver and handle the order, cash collection and processing of payment.

 

  1. Bgenz.com reserves the right to report any activity that either of them suspects violates any Applicable Law to appropriate law enforcement officials, regulators, or other third parties. In order to cooperate with governmental requests, to protect Bgenz.com and purchasers, or to ensure the integrity and operation of Bgenz.com’s business and systems, Bgenz.com may access and disclose any information it considers necessary or appropriate, including but not limited to Agency account details, contact details, IP address and traffic information, usage history, and posted content. Bgenz.com and a Agency each shall protect purchaser data as per their respective policies and the applicable laws of the Arab Republic of Egypt.

  4. Where Bgenz.com reasonably believes that its continued provision of the Services would expose Agency or Bgenz.com or their respective networks or customers to a material security risk or a regulatory action.

 

 

  1.  Bgenz.com has the right to use, copy, distribute, modify and disclose to third parties any content, trademarks, materials or product images that you upload on the Website (and Agency warrants that it is entitled to grant that license).
  2.  Any notice served in respect of these Terms will be sent by email.
  3.  No amendment to these Terms shall be binding on the parties unless set out in writing, expressed to amend these Terms and signed by authorized representatives of each of the parties.
  4.  As a Agency, you use the Website services at your own risk, and Bgenz.com bears no risks relating to your products, and all rights and liabilities therein.
  5.  Agency receives his payment after three weeks from delivering the products or services to the end users through bank account data uploaded during registration, also Agency states that the bank account data is right.

 

  1. Agency ’ products or services prices should include (VAT taxes and duties plus BGENZ referral fees) which will be specified in a separated contract.

 

  1.  These Terms together with Website Terms and signed agreement between Bgenz.com and the Agency contain the entire agreement of the parties relating to the transactions described in it.

 

  1. Agency’s Responsibilities:
  2.  As a part of registration process, Agency will provide copy of trade license and Tax ID, and any additional documents may be requested by Bgenz.com.
  3.  Agency is responsible to pack the products safely and in good manner to avoid damages, and ensure that his products do not cause any personal injury or damage to properties or people.
  4.  Agency shall provide the required warrantees and maintenance for the purchased products in accordance with market practices, Website policies and Applicable Laws, and remain responsible for aftersales services.

 

  1.  Agency has the full legal responsibility toward his products offered through the Website.
  2.  The Website and Services shall be used only for lawful purposes and in a lawful manner, and the Agency must comply with all Applicable Laws.
  3. Agency is responsible for payment of taxes in connection with sold products through the Website including interests, collection or withholding costs associated.
  4.  Agency acknowledges that Bgenz.com may from time to time introduce and implement new business rules, and customer care guidelines. Additionally, we are under no obligation to provide any information, material or document back to you, including following termination of these Terms or cancelation of a Agency account.

 

  1. Agency states that he is the exclusive distributor for the products uploaded online and he has the full right to share pictures, specifications and prices, without any responsibilities on BGENZ.com.

 

  1. Agency Warranties:

Agency represents and warrants that:

  1.  Agency has the power and licenses, permissions, authorizations, proprietary rights, consents and permits in the products and to sell and promote products in Egypt.

 

  1.  Agency shall be solely responsible for any products placed or distributed through the Website.
  2.  All products including the materials supplied to the End-Users are original and free from any defects.
  3.  Agency will not engage in any unfair trade practices, and publish any inaccurate or misleading advertisement or information about products on or via the Website.
  4.  Agency will neither sell nor deliver to an End-usera refurnished or used item, and that the products will be always new.

 

  1. Website Policies:

Website Terms are applicable to all activities or transactions made on or via the Website. If Bgenz.com is notified by a Agency or a third-party brand owner, or via a court, administrative or government order that the products or a portion violates the Intellectual Property Rights(including without limitation):

  1.  Copyright, patents, database rights and rights in trademarks, designs, know-how and confidential information (whether registered or unregistered).
  2.  Applications for registration, and the right to apply for registration, for any of these rights.
  3.  All other IPRs and equivalent or similar forms of protection existing anywhere in the world, or any other rights of any third party or any Applicable Laws, Bgenz.com may remove such products from the Website andBgenz.com warehouses (if relevant) at its sole discretion or ask Agency to remove such products within a reasonable timeframe notified in writing.

 

 

  1. Payment Condition:

Nevertheless, these Terms and without prejudice to Bgenz.com’s other rights and remedies, Agency acknowledges Bgenz.com’s rights to:

  1.  Withhold all and any amounts to Agency.
  2.  Recover from Agency all losses or damages suffered by Bgenz.com and or a purchaser as solely determined by Bgenz.com.

 

 

  1. Return Policy:
  2.  Products sold on the Website are subjected to a return policy that is within 14 (fourteen) working days of the date of delivery as long as products are in the original packaging, and original condition when purchased and received except in cases a product is defective and/ or materially different from the one ordered by a purchaser.
  3.  Bgenz.com’s customer support team will arrange return for Agency by arranging a courier pickup and return, at which point full refund is made to a purchaser. Agency must accept return of an item without fail. In the event of a return not in breach of a Agency obligations under this provision, Bgenz.com will not charge any costs or penalty.
  4.  Nevertheless, Bgenz.com may charge shipping charges on Agency if products are returned due to Agency’s breach of these Terms or Website Terms.

 

  1. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any dispute, claim or controversy arising out of or in connection with these Terms (including a dispute, claim or controversy relating to any non-contractual obligations arising out of or in connection with these Terms) shall be solved in a sympathetic way. If any dispute remains unresolved 30 days after, it shall be finally settled by arbitration under the Arbitration Rules of the Cairo Regional Centre for International Commercial Arbitration, which Rules are deemed to be incorporated by reference into this clause
